・ Basic Policy on Corporate Governance
Our company and its subsidiaries (hereinafter referred to as "our group") consider sustainable growth and the enhancement of corporate value over the medium to long term as important management issues. To achieve these goals, it is essential to foster trust with all stakeholders, including shareholders, customers, business partners, and employees. Additionally, in line with our corporate philosophy of "More Music to the World, More Services to the World," we believe it is important to achieve long-term stable growth by providing services and products that satisfy our customers and lead to coexistence with our group. Based on this philosophy, our group has established and published the "Daiichi Kosho Group Code of Conduct" as our own behavioral guidelines. Furthermore, to further promote the achievement of important issues, our group respects the spirit of the "Corporate Governance Code" stipulated by the Tokyo Stock Exchange and aims to build stronger corporate governance through various measures.
・ Status of Internal Control System Development
To execute our management strategies and business objectives in compliance with laws and regulations, our company and group have established a "Basic Policy for the Development of Internal Control Systems" and are developing, building, and operating an internal management system across the entire group.

■ Compliance
Our company and group have established a "Group Code of Conduct" to conduct business activities in compliance with laws and regulations.
In addition, based on the basic compliance manual, the Internal Control Promotion Office conducts various training sessions for executives and employees, while the Audit Department regularly audits the status of legal compliance and reports the results to the Board of Directors and the Audit & Supervisory Board.
Furthermore, to prevent the occurrence of legal violations, we have established an internal reporting system and ensure the protection of whistleblowers.

■Risk management
Our company and group, based on the "Group Risk Management Basic Regulations," focus on the Group Risk & Compliance Committee to reduce and prevent risks.
In the event that significant damage is anticipated, we promptly report to the Board of Directors. When new risks arise, the President and Representative Director issues directives and appoints a director responsible for response, thereby establishing a system for swift action.
In the event of an emergency, based on the "Group Crisis Management Regulations," we establish a Crisis Management Headquarters led by the President and Representative Director as the head, and strive to minimize losses by establishing a smooth command system.
Furthermore, by conducting annual investigations and analyses of various risks, including management risks, we are developing a system capable of responding to risks. The Audit Department monitors the risk assessment and management operations of the entire group.
■ Information Security
Our company and group recognize the appropriate handling of personal information of shareholders, customers, business partners, and employees as a significant responsibility. We have established a "Personal Information Protection Policy" and "Handling of Personal Information" and comply with laws related to the protection of personal information, as well as related government ordinances and guidelines.

■ Intellectual Property Initiatives
Our group, based on our corporate philosophy of "More Music to the World, More Services to the World," is engaged in the research and development of new products and services to contribute to all stakeholders. We enhance corporate value by appropriately and securely protecting inventions and other intellectual properties created in the process of realizing this.
・ Intellectual Property Rights Owned by Our Group
Our group owns patents, trademarks, designs, and neighboring rights such as music publishing rights held by our karaoke sound source and record subsidiaries.
・ Appropriate and Secure Protection of Intellectual Property Rights
Our group establishes a system to protect and effectively utilize the intellectual property rights we own, while monitoring infringements by third parties and taking legal action when necessary.
In conducting business activities, we manage risks to ensure that we do not infringe on the valid intellectual property rights of third parties.
